SELLER / POSTING AGREEMENT

1. PARTIES AND SCOPE
1.1 This Seller / Posting Agreement ("Agreement") governs the relationship between wavetech.software (postim.life) ("we," "us," "Operator") and any individual or entity ("Seller," "Poster," "you") who submits, publishes, or otherwise makes available any listing, advertisement, offer, image, text, price, or other content ("Listing Content") on the postim.life Marketplace platform, including its website, mobile application, and Telegram-integrated surfaces (collectively, "Platform").
1.2 By submitting a Listing, you confirm that you have read, understood, and agree to be bound by this Agreement in its entirety, together with the Platform's General Terms of Service, Privacy Policy, and Prohibited Items Policy, each incorporated herein by reference.
1.3 If you are acting on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to this Agreement. References to "you" include that entity.
1.4 This Agreement is effective upon the earlier of: (a) your first submission of a Listing; or (b) your acceptance via electronic checkbox or click-through mechanism.
2. PLATFORM AS VENUE - NOT A PARTY TO TRANSACTIONS
2.1 Mere Conduit / Venue. The Platform is an online classified advertising venue that enables Sellers to display Listings and potential buyers ("Buyers") to view and respond to them. The Platform is not a party to, does not facilitate, broker, arrange, guarantee, insure, or underwrite any transaction, sale, exchange, rental, or other dealing between Sellers and Buyers ("Transaction").
2.2 No Agency. Nothing in this Agreement or the Platform's operation creates any agency, partnership, joint venture, employment, franchise, or fiduciary relationship between the Operator and any Seller or Buyer. The Operator does not act as agent, representative, consignee, auctioneer, or escrow holder for any Seller or Buyer unless expressly stated in a separate written agreement.
2.3 Operator Not a Seller. The Operator does not sell, manufacture, distribute, or take possession of any goods or services described in Listings. All Transactions are concluded solely between the Seller and the Buyer. Any reference to "buying" or "selling" on the Platform refers exclusively to the Seller-Buyer relationship.
2.4 Consumer Clarity. To avoid any impression that the Operator is the seller of goods or services, all Listings must clearly identify the Seller by name and contact information as required in Section 5. The Operator's name, logo, or branding appearing on the Platform does not indicate that the Operator is the seller of any listed item.
2.5 No Endorsement. Display of a Listing on the Platform does not constitute the Operator's endorsement, verification, recommendation, or approval of the Seller, the Listing Content, or the goods or services described therein.
3. ELIGIBILITY AND REGISTRATION
3.1 Age. You must be at least 18 years of age, or the age of legal majority in your jurisdiction of residence if higher, to post a Listing. By submitting a Listing, you represent and warrant that you meet this requirement.
3.2 Legal Capacity. You represent that you have full legal capacity to enter into binding contracts under applicable law and that you are not subject to any legal prohibition on engaging in commercial activity.
3.3 Business Registration. If you are a business entity, you represent that you are duly registered and in good standing under the laws of your jurisdiction. If you are a foreign national offering goods or services within the Kingdom of Thailand, you are solely responsible for compliance with applicable foreign business operation laws, work permit requirements, and sector-specific licensing.
3.4 ETDA Compliance. If you are a business Seller operating as an e-commerce merchant within Thailand, you acknowledge that applicable Thai regulations, including the Royal Decree on Digital Platform Services B.E. 2565 (2022) and ETDA requirements effective from 31 December 2025, may impose obligations on you independently of this Agreement, including seller registration and verification duties. The Operator's compliance with its own regulatory obligations does not discharge your separate obligations.
3.5 Account Accuracy. You agree to provide accurate, current, and complete information during registration and to update such information promptly upon any change. Providing false registration information is grounds for immediate account suspension without notice.
4. LISTING SUBMISSION AND CONTENT STANDARDS
4.1 Seller's Sole Responsibility. You are solely and exclusively responsible for all Listing Content you submit, including its accuracy, completeness, legality, originality, and any representations made therein. The Operator does not review, pre-screen, approve, or verify Listing Content before publication. Publication of a Listing does not imply the Operator's endorsement or verification of any claim made in it.
4.2 Accuracy and Truthfulness. You represent and warrant that:
- (a) all descriptions, specifications, images, prices, conditions, and other information in your Listing are accurate, complete, and not misleading at the time of posting and throughout the Listing's active period;
- (b) you will update or remove your Listing promptly if its content becomes inaccurate or the item is no longer available;
- (c) the price stated is the full price payable by the Buyer for the described item unless additional terms are expressly disclosed in the Listing;
- (d) all images used in your Listing accurately depict the actual item being offered.
4.3 Minimum Listing Information. Each Listing must include:
- (a) a clear and accurate title and description of the item or service;
- (b) the asking price and currency;
- (c) your contact information or a Platform-approved messaging channel;
- (d) the item's condition (new / used / refurbished) where applicable;
- (e) any material defects, limitations, or restrictions on the item or its use;
- (f) for regulated goods or services: applicable license numbers, certification marks, FDA registration numbers, or other mandatory disclosures required by Thai law or the law of the jurisdiction where the item will be delivered.
4.4 Language. Listings may be published in English, Thai, Russian, or other languages. Where Thai law requires disclosures in Thai (e.g., mandatory consumer product information), you are responsible for providing Thai-language content.
4.5 Prohibited Content. You agree not to submit Listings for items or services that:
- (a) are prohibited by any applicable law, regulation, or official order, including under the Thai Consumer Protection Act B.E. 2522, Food and Drug Administration regulations, and Customs Act;
- (b) are listed in the Platform's Prohibited Items Policy (published separately at [URL], updated from time to time without prior notice);
- (c) infringe any third-party intellectual property right, including trademarks, copyrights, patents, or design rights;
- (d) involve counterfeit or fraudulently described goods;
- (e) involve firearms, ammunition, explosives, or controlled weapons without the requisite licenses;
- (f) involve controlled substances, narcotics, or precursor chemicals;
- (g) involve stolen property;
- (h) involve live animals unless you hold a valid permit under applicable wildlife and veterinary regulations;
- (i) involve financial products, investment schemes, pyramid or multi-level marketing structures operating without the required licenses;
- (j) involve personal data of third parties (e.g., databases of contacts or identification information);
- (k) involve services of a sexual nature;
- (l) are otherwise false, deceptive, defamatory, obscene, or harmful.
4.6 Regulated Categories. Listings in certain categories (including but not limited to health products, food, cosmetics, electronics with frequency emissions, vehicles, and real property) may require additional documentation. The Operator reserves the right to require proof of license, certification, or regulatory approval before displaying such Listings. Failure to provide required documentation within 5 business days of request is grounds for removal of the Listing.
5. SELLER IDENTITY AND VERIFICATION
5.1 Identity Disclosure. You agree to disclose your true identity as Seller in accordance with the Platform's verification requirements. For individual Sellers, this includes your full legal name and valid contact information. For business Sellers, this includes your registered business name, registration number, and registered address.
5.2 Operator's Verification Role. The Operator may request identity documents, business registration certificates, or other verification materials. Completion of a verification request does not constitute the Operator's guarantee of your identity, the authenticity of documents provided, or the accuracy of your Listings. Verification is a reasonable commercial measure, not a warranty to Buyers.
5.3 Anonymity Not Available. You may not use pseudonyms, fictitious business names, or third-party identities to post Listings. Use of false identity information constitutes a material breach of this Agreement and may be reported to competent authorities.
5.4 Royal Decree Compliance. To the extent required by the Royal Decree on Digital Platform Services B.E. 2565 and ETDA directions, the Operator may collect, retain, and share your identity information with competent Thai regulatory authorities upon lawful request. You consent to such disclosure as a condition of using the Platform.
6. INTELLECTUAL PROPERTY - CONTENT OWNERSHIP AND LICENSE
6.1 Seller Retains Ownership. You retain all intellectual property rights in original Listing Content that you create, including original text, photographs, illustrations, and other creative works. This Agreement does not transfer ownership of your intellectual property to the Operator.
6.2 License Grant to Operator. By submitting a Listing, you grant to wavetech.software (postim.life) and its successors, affiliates, and sublicensees a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to:
- (a) host, store, copy, reproduce, display, publish, transmit, distribute, and index your Listing Content on the Platform and its affiliated surfaces (including Telegram channels, partner sites, and search engine syndication) for the purpose of operating the Platform;
- (b) create thumbnails, previews, watermarked versions, and format-adapted versions of your images for display purposes;
- (c) archive Listing Content for legal compliance, dispute resolution, and audit purposes for a period of 5 years following Listing removal;
- (d) use anonymized or aggregated data derived from Listing Content for platform analytics, service improvement, and reporting.
6.3 Scope Limitation. The license in Section 6.2 does not permit the Operator to sell, license, or commercially exploit your original Listing Content to third parties as a standalone product. The Operator will not edit the substantive content of your Listing text without your consent, except to remove content that violates this Agreement.
6.4 Originality Warranty. You represent and warrant that:
- (a) you are the original author of all text you submit or have obtained all necessary rights to use such text;
- (b) you are the photographer or rights-holder of all images you submit, or have obtained an explicit, documented license from the copyright owner permitting the use you make of such images, including sublicensing to the Platform under Section 6.2;
- (c) your Listing Content does not contain material scraped, copied, or republished from third-party platforms or websites without the express written permission of the relevant rights-holder;
- (d) your Listing Content does not contain personal data of third parties collected without a lawful basis under the Thailand Personal Data Protection Act B.E. 2562 ("PDPA") or other applicable data protection law.
6.5 Third-Party Content Prohibited. You must not submit to the Platform any content that you have obtained by automated scraping, crawling, copying, or extracting from other platforms, classified sites, social media, or messaging applications. Submission of such content constitutes a material breach of this Agreement and may expose you to liability under applicable copyright law, the PDPA, and the Computer Crime Act B.E. 2550 ("CCA").
6.6 No Operator Liability for Third-Party Claims. If a third party asserts that your Listing Content infringes their intellectual property rights or misuses their personal data, you will be solely responsible for defending and resolving such claim. The Operator's liability in such circumstances is governed by Section 11 (Indemnification).
7. PROHIBITED CONDUCT
7.1 Seller Prohibited Acts. In addition to prohibited Listing content under Section 4.5, you agree not to:
- (a) use automated bots, scripts, scrapers, crawlers, or spiders to post Listings or interact with the Platform;
- (b) create multiple accounts for the purpose of circumventing restrictions, suspension, or verification requirements;
- (c) post duplicate Listings for the same item across multiple categories or regions;
- (d) manipulate search rankings, ratings, or feedback through artificial means;
- (e) contact Buyers for purposes unrelated to the Transaction described in your Listing or send unsolicited commercial communications;
- (f) collect, store, or process personal data of Buyers obtained through the Platform for any purpose other than completing the Transaction, without the Buyer's separate and explicit consent compliant with the PDPA;
- (g) misrepresent your identity, the nature of your business, or the origin of the goods;
- (h) circumvent any technical or contractual access controls implemented by the Operator;
- (i) use the Platform to facilitate money laundering, fraud, phishing, or any other unlawful financial activity;
- (j) post content that is defamatory, harassing, threatening, or discriminatory toward any person.
7.2 CCA Compliance. You acknowledge that posting false or distorted data that causes public damage, or content that threatens national security, public order, or public morals, may constitute a criminal offence under Sections 14 and 15 of the CCA. You agree not to post any such content and to cooperate with any lawful takedown requirement.
8. TRANSACTIONS - SELLER'S RESPONSIBILITIES
8.1 Seller Conducts Transaction. All negotiations, pricing decisions, shipping arrangements, payment collection, delivery, and post-sale support in respect of a Transaction are the sole responsibility of the Seller. The Operator provides no payment processing, escrow, fulfillment, or dispute resolution services unless separately agreed in writing.
8.2 Legally Compliant Sale. You are solely responsible for ensuring that your Transaction complies with all applicable laws, including:
- (a) consumer protection law (Consumer Protection Act B.E. 2522 and amendments);
- (b) product safety and standards law (Thai Industrial Standards Institute requirements, FDA requirements for applicable categories);
- (c) import and export regulations and customs duties;
- (d) tax obligations, including VAT registration and remittance where applicable;
- (e) any sector-specific licensing requirements (e.g., vehicle sales, real estate brokerage, financial services).
8.3 Accurate Representation at Time of Sale. You agree that the item you deliver to a Buyer will materially correspond to the description and images in your Listing at the time of the Transaction. Materially mis-described items may result in Listing removal and account suspension, and expose you to civil liability under the Consumer Protection Act independent of the Platform.
8.4 Tax Compliance. You acknowledge that income, VAT, or other tax obligations arising from your Transactions are your sole responsibility. The Platform does not withhold, collect, or remit taxes on your behalf unless required by Thai law to do so. You agree to provide tax information to the Operator upon request if required by applicable law.
8.5 Dispute Resolution Between Parties. All disputes arising from a Transaction are to be resolved directly between Seller and Buyer. The Operator has no obligation to mediate, arbitrate, or resolve such disputes. You release the Operator from any and all claims, demands, and damages arising from any Transaction dispute.
9. DATA PROTECTION AND PRIVACY
9.1 Operator as Data Controller. The Operator processes your personal data (including registration data, Listing data, and communications data) as Data Controller under the PDPA. Such processing is governed by the Platform's Privacy Policy ([URL]), which you acknowledge and accept as a condition of this Agreement.
9.2 Seller as Data Controller for Buyer Data. To the extent you receive, collect, or process personal data of Buyers in connection with a Transaction (including names, contact information, delivery addresses, and payment details), you act as an independent Data Controller under the PDPA with respect to such data. You are solely responsible for:
- (a) establishing a lawful basis for such processing under PDPA Section 24;
- (b) providing Buyers with a compliant privacy notice;
- (c) retaining Buyer data only for as long as necessary for the Transaction and applicable legal retention periods;
- (d) implementing appropriate technical and organisational security measures;
- (e) responding to data subject rights requests from Buyers within the timeframes required by the PDPA (access/rectification: 30 days; erasure: 90 days from 11 November 2024);
- (f) notifying the PDPC and affected Buyers within 72 hours of discovering a personal data breach involving Buyer data.
9.3 No Unauthorised Data Use. You must not use Buyer personal data obtained through the Platform for any purpose beyond completing and documenting the Transaction, unless you have obtained separate, explicit, freely-given consent from the Buyer that meets PDPA requirements. You may not sell, share, or transfer Buyer data to third parties without such consent.
9.4 Cross-Border Data Transfer. If you are located outside Thailand and receive personal data of Thai-resident Buyers, you represent that you will process such data in accordance with the cross-border transfer requirements of PDPA Sections 28-29, including implementing Standard Contractual Clauses or equivalent safeguards approved by the PDPC where required.
9.5 Third-Party Personal Data in Listings. You must not include in any Listing the personal data of any third party (including contact details, identification numbers, images, or location information of identifiable individuals) without that person's explicit consent compliant with the PDPA. Violation of this provision constitutes a material breach of this Agreement and may constitute a criminal offence under PDPA Section 79.
9.6 Scraping and Unauthorised Data Collection Prohibited. You must not use the Platform or any data obtained from the Platform (including Buyer contact details) to build databases, mailing lists, or datasets for commercial use, marketing, or any purpose other than completing your own Transactions. This prohibition applies whether data is collected manually or by automated means.
10. PLATFORM'S CONTENT MODERATION AND TAKEDOWN RIGHTS
10.1 Operator's Right to Remove. The Operator reserves the right, in its sole and absolute discretion, to remove, delist, modify the categorisation of, or restrict visibility of any Listing at any time, with or without prior notice, where the Operator reasonably believes that:
- (a) the Listing violates this Agreement, the General Terms of Service, or the Prohibited Items Policy;
- (b) the Listing contains false, misleading, or fraudulent information;
- (c) the Listing infringes the intellectual property rights or personal data rights of a third party;
- (d) removal is required by applicable Thai law, including but not limited to the CCA, the Consumer Protection Act, the PDPA, or an order of a competent court or regulatory authority;
- (e) the Listing poses a risk to the safety, security, or wellbeing of any person.
10.2 Notice-and-Takedown. The Operator operates a notice-and-action procedure. Third parties may submit complaints regarding Listing Content to legal@postim.life with the following information: (a) identification of the specific Listing and URL; (b) the nature of the alleged violation; (c) the complainant's contact information; (d) for intellectual property complaints, a statement of ownership and a description of the work alleged to be infringed. The Operator will assess valid complaints and, where warranted, remove or restrict the relevant Listing.
10.3 CCA Mandatory Takedown. In accordance with Thai law (CCA Section 15 and applicable Ministerial Notifications), where the Operator receives a direction from a competent authority to remove content:
- (a) content threatening national security or causing public panic: within 24 hours;
- (b) content containing false or distorted data causing public damage: within 7 days;
- (c) other categories as directed by competent authority within the timeframe specified.
You consent to such removal as a condition of using the Platform. The Operator's compliance with a government direction to remove your Listing does not constitute a breach of this Agreement.
10.4 No Obligation to Monitor. The Operator is not obligated to pre-screen, actively monitor, or review Listing Content. Exercise of the right to remove content under this Section does not create an obligation to remove any other content or to continue monitoring the Platform.
10.5 Counter-Notice. If you believe your Listing has been removed in error, you may submit a counter-notice to legal@postim.life within 14 days of removal. The Operator will assess counter-notices in good faith but retains final discretion over content moderation decisions, subject to applicable law.
10.6 Repeat Infringers. Sellers whose Listings are the subject of three or more validated intellectual property infringement complaints within any 12-month period will be subject to permanent account termination.
11. INDEMNIFICATION
11.1 Seller's Indemnification Obligation. To the fullest extent permitted by applicable law, you agree to defend, indemnify, and hold harmless wavetech.software (postim.life) and its parent, subsidiaries, affiliates, officers, directors, employees, contractors, agents, licensors, and successors (collectively, "Operator Parties") from and against any and all claims, demands, actions, proceedings, liabilities, losses, damages, judgments, settlements, penalties, fines, costs, and expenses (including reasonable legal fees and court costs) ("Claims") arising out of or relating to:
- (a) any Listing Content you submit or publish on the Platform;
- (b) any alleged or actual infringement of any third party's intellectual property rights by your Listing Content;
- (c) any alleged or actual violation of the PDPA, CCA, Consumer Protection Act, or any other applicable law arising from your Listings or Transactions;
- (d) any Transaction between you and a Buyer, including claims relating to the quality, safety, legality, fitness for purpose, or delivery of goods or services;
- (e) any misrepresentation or false statement made in your Listing or during a Transaction;
- (f) your breach of any representation, warranty, or obligation under this Agreement;
- (g) your wilful misconduct or negligence;
- (h) any claim by a Buyer, third party, or regulatory authority arising from your Listing or Transaction.
11.2 Procedure. The Operator will: (a) notify you promptly in writing of any Claim for which indemnification is sought; (b) permit you, at your own cost, to assume primary control of the defence and settlement of such Claim (provided that the Operator may participate with counsel of its own choosing at its own cost); (c) provide reasonable cooperation in the defence. You may not settle any Claim that imposes any obligation, restriction, or liability on any Operator Party without the Operator's prior written consent.
11.3 Survival. Your indemnification obligations under this Section survive termination of this Agreement and your use of the Platform.
12. DISCLAIMERS AND LIMITATION OF LIABILITY
12.1 Platform Provided As-Is. THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE OPERATOR PARTIES EXPRESSLY DISCLAIM ALL WARRANTIES INCLUDING, WITHOUT LIMITATION:
- (a) WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT;
- (b) ANY WARRANTY THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS;
- (c) ANY WARRANTY AS TO THE ACCURACY, COMPLETENESS, CURRENCY, OR RELIABILITY OF ANY LISTING CONTENT;
- (d) ANY WARRANTY THAT ANY SELLER IS WHO THEY CLAIM TO BE, THAT ANY ITEM IS OF SATISFACTORY QUALITY OR FIT FOR ANY PARTICULAR PURPOSE, OR THAT TITLE TO ANY ITEM IS FREE FROM ENCUMBRANCE;
- (e) ANY WARRANTY THAT THE PLATFORM WILL MEET YOUR REQUIREMENTS OR THAT ANY DEFECTS WILL BE CORRECTED.
12.2 No Warranty on Transactions. THE OPERATOR MAKES NO REPRESENTATION AND GIVES NO WARRANTY REGARDING THE IDENTITY, CREDITWORTHINESS, OR CONDUCT OF ANY USER. THE OPERATOR DOES NOT GUARANTEE THAT A BUYER WILL COMPLETE A PURCHASE OR THAT A SELLER WILL COMPLETE A SALE.
12.3 Limitation of Liability. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
- (a) THE OPERATOR PARTIES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITY, OR ANTICIPATED SAVINGS, ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT, THE PLATFORM, OR ANY TRANSACTION, EVEN IF THE OPERATOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES;
- (b) THE OPERATOR PARTIES' TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING UNDER OR IN CONNECTION WITH THIS AGREEMENT SHALL NOT EXCEED THE GREATER OF: (i) THE TOTAL FEES PAID BY YOU TO THE OPERATOR IN THE 12 MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (ii) USD 100 (OR EQUIVALENT IN THB AT THE PREVAILING EXCHANGE RATE).
12.4 Mandatory Rights. Nothing in this Section 12 limits or excludes liability for: (a) death or personal injury caused by the Operator's negligence; (b) fraud or fraudulent misrepresentation; (c) any other liability that cannot be excluded or limited under applicable Thai law or other mandatory applicable law. Where you are a consumer, applicable mandatory statutory rights under Thai consumer protection law are not affected.
12.5 Essential Basis. You acknowledge that the Operator has relied on the limitations in this Section 12 as an essential element of the basis of the bargain between the parties, and that the Platform would not be made available to you on the same commercial terms without these limitations.
13. TERM, SUSPENSION, AND TERMINATION
13.1 Term. This Agreement commences on the date you submit your first Listing or accept these terms and continues until terminated as set out in this Section.
13.2 Seller's Right to Terminate. You may terminate this Agreement at any time by ceasing to use the Platform and removing all active Listings. Termination does not affect any obligation that arose prior to termination, including indemnification obligations and obligations in respect of completed Transactions.
13.3 Operator's Right to Suspend or Terminate. The Operator may, without prior notice and without liability, immediately suspend or permanently terminate your access to the Platform and remove any or all of your Listings if:
- (a) you breach any provision of this Agreement or the General Terms of Service;
- (b) you provide false registration information or misrepresent your identity;
- (c) you engage in fraudulent, deceptive, or illegal conduct;
- (d) your Listings are the subject of repeated valid complaints from Buyers, third parties, or authorities;
- (e) removal is required by an order of a competent Thai court or regulatory authority;
- (f) the Operator reasonably considers that continued access poses a risk to the Platform, its users, or third parties.
13.4 Effect of Termination. Upon termination: (a) your license to use the Platform ceases; (b) the Operator's license to display your Listing Content terminates, subject to the archival rights in Section 6.2(c); (c) provisions of this Agreement that by their nature should survive (including Sections 6.1, 8.5, 9, 11, 12, and 15) will survive.
14. GOVERNING LAW AND DISPUTE RESOLUTION
14.1 Governing Law. This Agreement and any dispute or claim arising out of or in connection with it or its subject matter or formation (including non-contractual disputes or claims) is governed by and construed in accordance with the laws of the Kingdom of Thailand.
14.2 Jurisdiction. Subject to Section 14.3, you and the Operator submit to the exclusive jurisdiction of the courts of [Bangkok / Phuket] for the resolution of any dispute arising under this Agreement.
14.3 Mandatory Consumer Rights. For users who are consumers resident in a jurisdiction outside Thailand, nothing in this Agreement deprives you of the protection of mandatory consumer protection provisions of the law of your country of residence that cannot be excluded by contract.
14.4 Informal Resolution. Before commencing formal proceedings, parties agree to attempt in good faith to resolve any dispute through written notice and negotiation for a period of 30 days from the date of written notice of the dispute. This period does not restrict either party from seeking urgent interlocutory relief.
14.5 Language. This Agreement is executed in the English language. In the event of any conflict between an English version and any translation, the English version prevails.
15. GENERAL PROVISIONS
15.1 Entire Agreement. This Agreement, together with the General Terms of Service, Privacy Policy, and Prohibited Items Policy (each incorporated by reference), constitutes the entire agreement between you and the Operator with respect to the subject matter hereof and supersedes all prior agreements, representations, and understandings.
15.2 Amendment. The Operator may modify this Agreement at any time by posting a revised version on the Platform. The revised version takes effect 14 days after posting, or immediately for changes required by applicable law. Your continued use of the Platform after the effective date of a modification constitutes acceptance of the modified Agreement. If you do not accept a modification, you must cease using the Platform and remove all active Listings before the effective date.
15.3 Severability. If any provision of this Agreement is found to be invalid, illegal, or unenforceable under applicable law, that provision will be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible, and the remaining provisions will continue in full force and effect.
15.4 Waiver. Failure by either party to enforce any provision of this Agreement does not constitute a waiver of that party's right to enforce the same or any other provision in the future. Waivers must be in writing to be effective.
15.5 Assignment. You may not assign or transfer any rights or obligations under this Agreement without the Operator's prior written consent. The Operator may assign or transfer this Agreement, in whole or in part, to any affiliate or in connection with a merger, acquisition, or sale of assets, without your consent.
15.6 Force Majeure. Neither party is liable for failure or delay in performing obligations under this Agreement to the extent caused by circumstances beyond that party's reasonable control, including natural disasters, acts of government or regulatory authority, cyberattacks, or infrastructure failures, provided the affected party gives prompt written notice and uses reasonable efforts to resume performance.
15.7 Notices. Notices to you will be sent to the email address associated with your account or posted on the Platform. Notices to the Operator must be sent to legal@postim.life and, for legal notices, by registered post to [Registered address - to be confirmed on operator formalization].
15.8 No Third-Party Beneficiaries. This Agreement does not create any third-party beneficiary rights.
15.9 Electronic Execution. You agree that your electronic acceptance of this Agreement (including click-through acceptance and submission of your first Listing) is legally binding and equivalent to a handwritten signature under the Electronic Transactions Act B.E. 2544 (2001).
SCHEDULE A - PROHIBITED ITEMS SUMMARY (Reference - See Full Policy at [URL])
The following categories are prohibited in all Listings. This list is not exhaustive; the full Prohibited Items Policy controls.
- Firearms, ammunition, and weapons (without applicable Thai licence)
- Controlled substances, narcotics, and drug paraphernalia
- Counterfeit goods and unauthorised replicas of branded items
- Stolen property
- Live animals (without applicable permits under Thai wildlife and veterinary law)
- Child sexual abuse material or any sexualised content involving minors
- Services of a sexual nature
- Financial instruments, investment products, or multi-level marketing structures without applicable OCPB / SEC licence
- Databases of personal data of third parties
- Uncertified medical devices or pharmaceuticals requiring FDA registration
- Items subject to international sanctions applicable to either party
- Content that violates the CCA Sections 14-15 (false data threatening national security, public order, or morality)
